Louis N. Marks

Louis N. Marks is a Shareholder in Zarwin’s Corporate Department. Mr. Marks’ practice focuses on counseling businesses regarding corporate law, corporate finance, business planning and development, and all related corporate matters. Among others, he has had substantial experience with clients in the manufacturing, retailing, computer services, financial services, banking, mortgage banking, real estate, and professional services industries.

He counsels public and private companies and entrepreneurial businesses, including closely-held and family controlled companies, in strategic and business planning, joint ventures and corporate partnering, organization, workout and turnaround management matters. He has extensive experience in mergers and acquisitions, the structuring of publicly and privately held businesses, bank and institutional lending, debt and equity offerings, venture capital, investment and merchant banking and other capital acquisition strategies. He negotiates various forms of business agreements and contracts, including distribution, licensing, and intellectual property agreements, professional service contracts, shareholder agreements, and dissolution and disengagement, or “corporate divorce” agreements.

Previously, Mr. Marks was a Partner at Archer & Greiner, P.C., Montgomery, McCracken, Walker & Rhoads, LLP, and for many years at Dechert LLP. In addition, Mr. Marks served as Special Counsel regarding Middle Eastern affairs to Senator Arlen Specter during his tenure in the United States Senate.
