Career Biography

Louis N. Marks is a Shareholder in Zarwin’s Corporate Department. Mr. Marks’ practice focuses on counseling businesses regarding corporate law, corporate finance, business planning and development, and all related corporate matters. Among others, he has had substantial experience with clients in the manufacturing, retailing, computer services, financial services, banking, mortgage banking, real estate, and professional services industries. 

He counsels public and private companies and entrepreneurial businesses, including closely-held and family controlled companies, in strategic and business planning, joint ventures and corporate partnering, organization, workout and turnaround management matters. He has extensive experience in mergers and acquisitions, the structuring of publicly and privately held businesses, bank and institutional lending, debt and equity offerings, venture capital, investment and merchant banking and other capital acquisition strategies. He negotiates various forms of business agreements and contracts, including distribution, licensing, and intellectual property agreements, professional service contracts, shareholder agreements, and dissolution and disengagement, or “corporate divorce” agreements.

Previously, Mr. Marks was a Partner at Archer & Greiner, P.C., Montgomery, McCracken, Walker & Rhoads, LLP, and for many years at Dechert LLP. In addition, Mr. Marks served as Special Counsel regarding Middle Eastern affairs to Senator Arlen Specter during his tenure in the United States Senate.

Representative Matters

On behalf of a client facing securities trading liabilities in excess of $1 billion and bankruptcy, Marks negotiated contract and securities settlements, which resulted in the avoidance of bankruptcy, possible criminal prosecution, and the preservation of business value for the subsequent sale of the company.

In a “Going Private” transaction, Marks successfully transitioned a former New York Stock Exchange company to a non-reporting private company employing the reverse stock split technique. Significantly, the transaction was accomplished without litigation.

Led an international legal and business team in the sale of a multinational family-owned business worth several hundred million dollars.

Orchestrated the implementation of a multi-phase sale strategy of a computer payroll company to a national financial services organization, which resulted in the net gain of tens of millions of dollars for the CEO of the client company, substantially owned by the CEO.

Represented the owner of a television station that was believed to be valued at more than $100 million before debt of $75 million, in the reorganization and sale of the company, resulting in net after tax proceeds of $10 million to the owners, after avoiding foreclosure and bankruptcy.

Assisted a group of specialized accountants in extricating themselves from a Big Four accounting firm before its demise without any liabilities, and financing and organizing a partnership as a national consulting firm in the tax arbitrage space.

Negotiated an innovative debt and equity strategy to finance an interactive satellite telecommunications system.

Represented a national financial services firm, organized as a limited partnership, in a dispute among the partners and in the subsequent sale of the surviving company. After resolving the partners’ dispute in a tax-advantaged manner for all partners, Marks represented the surviving entity in a sale transaction to another major national financial institution. The transaction resulted in significant profits for the clients, as well as a financially sound organization.
