Career Biography

Scott E. Goldstein is an associate in Zarwin Baum's commercial group. His practice is primarily focused on real estate, commercial lender representation and corporate transactions as well as commercial litigation.  Scott is admitted to practice law in the Commonwealth of Pennsylvania and the State of New Jersey. 
Scott earned his Juris Doctorate at the Temple University Beasley School of Law, where he was a member of the Temple Journal of Science, Technology and Environmental Law.  In addition, Scott served as a mediator for landlord-tenant and small claims cases as part of a clinical program with the City of Philadelphia and completed Temple’s Integrated Trial Advocacy Program.  Scott earned a Bachelor of Arts degree, cum laude, from New York University, majoring in Economics with a minor in Mathematics.
Scott is active with Big Brother Big Sister and serves as a big brother to an elementary school student in Philadelphia and currently sits on the Board of Federation Housing, Inc., a non-profit organization dedicated to providing affordable housing for the elderly in the Philadelphia region.  

Representative Matters

Represented the developer of numerous specialty single tenant buildings in financing the construction of these projects throughout Pennsylvania and New Jersey.

Represents the owner of a large manufacturing complex in Indiana, Pennsylvania. Purchase made in a “Reverse 1031” transaction. Closed a series of loans to the fee owner and the industrial tenant occupant.

Represented the co-joint venture owner and manager of a large residential complex in suburban Philadelphia in a $30+ million recapitalizing and refinancing of the project

Represented a national healthcare company in a series of acquisitions of mobile diagnostic providers in Pennsylvania, South Carolina and West Virginia.
Represented the lender in a series of multi-million dollar refinances and acquisition loans for multi-family properties located throughout Pennsylvania and New Jersey. 
Represented a New York based corporation in the sale of a 200,000+ square foot commercial building located in Philadelphia.  
Represented the lender in a $4,000,000 construction loan for a shopping center project in suburban Philadelphia.
Represented a Pennsylvania based producer of athletic hydration, visibility and performance gear, in its sale to a global sports performance and protective products company based in Minnesota and California.  
Represented a real estate investment group in a series of equity investments for real estate projects throughout the Pennsylvania and New Jersey region.  
Represented the lender in a multi-million dollar refinancing of an office building in southern California.  
Served as Co-Bond Counsel to close a $389 million bond issuance for the Pennsylvania Turnpike Commission to fund roads, bridges and mass transit throughout the Commonwealth of Pennsylvania.
Represented a small business in the drafting of a limited liability company operating agreement structured to provide equity interests and profits interests to certain employees and owners.  
Served as pro bono counsel on behalf of Philadelphia Volunteer Lawyers for the Arts,  representing a recording artist  in  the United States Tax Court successfully reducing the artist's tax liability  by approximately 75%.  
Represented a commercial bank in the purchase of $19 million of tax-exempt bonds issued by a public development authority for the benefit of local university.  
Represented the operator of a delivery service route in the sale of the route contract and the business assets.
