Stephen F. Ritner

Stephen F. Ritner focuses his practice exclusively on representing entrepreneurs in corporate and business matters with special emphasis in mergers and acquisitions, equity and debt financing and counseling middle market growth businesses. He is also of Counsel to the firm Gould Yaffe and Golden.

Prior to becoming Special Counsel, Stephen spent 16 years as a partner in the corporate group at Stevens & Lee and five years as Of Counsel in the corporate group at Blank Rome. In addition, he has been a FINRA licensed investment banker since 2003 and worked as managing director at Griffin Financial Group, LLC from 2007 to 2009.

Stephen has extensive experience in mergers and acquisitions, equity finance and corporate structuring. He has provided representation in many small and mid-sized merger & acquisition transactions as well as managed larger more sophisticated matters. His clients and transactional experience include representing businesses from a wide range of industries, such as pharmaceutical services, consulting and business services, specialty manufacturing, value added distribution, trucking and warehousing, construction services, consumer products, technology services and life sciences.

During his career, Stephen has served as Chairman of the Board of Directors of the Philadelphia Chamber of Commerce Small Business section. He has also been a member of the Board of Directors of the Philadelphia Chamber of Commerce and Philadelphia Arts & Business Council.

Representative Matters

Corporate and Business

Acts as general counsel to a company which collects used clothing and resells the clothing through various sales channels.  Assisted in the capital raise of $12mm, completed the reorganization of the company from a series of separate LLC enterprises to a Delaware public benefit corporation, and represented the company in a series of acquisitions to expand its collections of reused clothing.

Corporate and Business

Represented an on-line specialty marketing company in an asset sale to a strategic buyer.
