Representative Matters

Acts as general counsel to a company which collects used clothing and resells the clothing through various sales channels.  Assisted in the capital raise of $12mm, completed the reorganization of the company from a series of separate LLC enterprises to a Delaware public benefit corporation, and represented the company in a series of acquisitions to expand its collections of reused clothing.

Represented an on-line specialty marketing company in an asset sale to a strategic buyer.

Represented a group of entrepreneurs in the sale of a specialty medical laboratory to a strategic buyer.

Represented a sole-owner in the asset sale of his sales and service business (calibration of weighing machines) to a strategic buyer.

Represented an entrepreneur who owned a manufacturing company in a recapitalization transaction completed as an F Reorganization with a private equity group which provided a partial buy-out and the entrepreneur retaining a 40% interest in the enterprise.
